Terms of Service

Bluefield provides software for managing markets. We may modify, add or discontinue features of the service from time to time. We use reasonable efforts to keep the service available but do not guarantee that it will be uninterrupted or error-free.

You must provide accurate information and keep your credentials confidential. You are responsible for activity under your account. Customers are responsible for ensuring that the users they authorize comply with these terms, for the accuracy and lawfulness of the content they enter, and for holding the permissions needed to provide it to Bluefield.

Fees, if any, are as agreed in writing and are exclusive of applicable taxes. Payments that vendors make to a customer through the service are payments to the customer, and Bluefield is not a party to that transaction. Payments may be processed by third-party payment providers, whose terms also apply.

You must not use the service unlawfully, interfere with its operation, attempt to access another customer's data, circumvent or probe its security, introduce malicious code, or reverse engineer it. We may suspend access that violates these terms.

The customer owns the data it enters and grants Bluefield the right to host and process it to provide the service. Bluefield may also use aggregated, de-identified data that does not identify any person or customer. The customer will defend and indemnify Bluefield against third-party claims arising from the customer's data or its breach of these terms. See the Privacy Policy.

A customer may terminate in accordance with its agreement. We may suspend or terminate access for material breach of these terms. After termination, the customer may request an export of its data for a reasonable period, and we may delete the data in accordance with our retention practices.

The service is provided “as is” without warranties of any kind, to the fullest extent permitted by law. Bluefield is not liable for indirect, incidental, special or consequential damages, or loss of profits or revenue, and its total liability will not exceed the fees paid by the customer to Bluefield in the twelve months preceding the claim.

These terms are governed by the laws of British Columbia and the federal laws of Canada applicable there, and the courts of British Columbia have exclusive jurisdiction.
